1. Acceptance of Terms

By accessing and using Buddy's AI-powered Meta Ads management platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including but not limited to registered users, free trial users, and paid subscribers.

2. Use of Service

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use this Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

2.2 Account Registration

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

2.3 Meta Ads Integration

By connecting your Meta Ads account to our Service, you authorize us to:

  • Access your advertising account data for analysis and optimization
  • Create, modify, and manage advertising campaigns on your behalf
  • Apply AI-driven optimizations to improve campaign performance
  • Generate reports and insights based on your advertising data

3. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Create or distribute misleading, fraudulent, or deceptive advertisements
  • Engage in any activity that could damage, disable, or impair the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Use automated systems or software to extract data from the Service
  • Interfere with or circumvent security features of the Service
  • Share your account credentials with unauthorized third parties
  • Use the Service for any illegal or unauthorized purpose

4. Subscription and Payment

4.1 Subscription Plans

We offer various subscription plans with different features and limitations. By selecting a subscription plan, you agree to pay the associated fees according to the billing cycle you choose.

4.2 Billing and Renewal

Subscriptions automatically renew unless canceled before the end of the current billing period. You authorize us to charge your payment method on a recurring basis for your subscription fees.

4.3 Refund Policy

Subscription fees are non-refundable except as required by law or as explicitly stated in our refund policy. Free trial periods, if offered, must be canceled before the trial ends to avoid charges.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by Buddy and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Your Content

You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content in connection with providing the Service.

5.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service becomes our property and may be used without compensation or attribution to you.

6. Disclaimers and Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Service will be uninterrupted or error-free
  • Warranties regarding the accuracy or reliability of information obtained through the Service
  • Warranties that defects in the Service will be corrected

We do not guarantee specific results from using the Service, including but not limited to advertising performance, return on investment, or campaign success.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUDDY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or advertising spend
  • Business interruption or loss of business information
  • Any other pecuniary loss arising from use or inability to use the Service

Our total liability for any claims under these Terms shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Buddy, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit to the Service
  • Your advertising campaigns and their compliance with applicable laws

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • At our sole discretion without cause

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

10. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Egypt, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through:

  • First, good faith negotiations between the parties
  • If negotiations fail, binding arbitration in Cairo, Egypt
  • Each party shall bear its own costs in any dispute resolution proceeding

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

12. Miscellaneous

12.1 Entire Agreement

These Terms constitute the entire agreement between you and Buddy regarding the use of the Service.

12.2 Waiver and Severability

Our failure to enforce any provision of these Terms shall not be deemed a waiver. If any provision is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
